SoJen.AI API Terms of Use

These API Terms of Use ("Terms") govern your access to and use of the SoJen.AI application programming interface and related services ("API") provided by SoJen.AI ("Company," "we," "us," or "our"). By registering for API access, generating an API key, or submitting any request to the API, you ("Customer," "you," or "your") agree to these Terms.
1. API Access and API Keys
1.1 Subject to these Terms and timely payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the API solely for your internal business purposes and in accordance with our documentation.
1.2 We will issue you one or more API keys upon account creation. You are responsible for maintaining the confidentiality of your API keys and for all activity that occurs under them. You must immediately notify us at legal@sojen.ai if you suspect unauthorized use of any key.
1.3 You may not share, sublicense, sell, or otherwise transfer your API keys to any third party without our prior written consent.
2. Permitted Use
You may use the API to:
- Analyze text content for bias, hate speech, harassment, and harmful language patterns within your own products and services.
- Integrate analysis results into content moderation workflows, user-facing dashboards, or compliance reporting tools.
- Access inference results programmatically for research, product development, or operational purposes consistent with these Terms.
3. Prohibited Use
You may not use the API to:
3.1 Circumvent safety systems. Use analysis results to identify weaknesses in content moderation and exploit them to disseminate harmful content.
3.2 Generate harmful content. Use the API to produce, refine, or amplify hate speech, harassment, or discriminatory content targeting any individual or group.
3.3 Unlawful processing. Submit content in violation of applicable privacy laws, including content you are not authorized to process or that contains personally identifiable information of individuals who have not consented to such processing.
3.4 Children's PII without authorization. Submit text that contains personally identifiable information of children under 13 (as defined by COPPA) without first obtaining all required verifiable parental consent and complying fully with applicable children's privacy laws. You, as the data controller for your platform's users, bear sole responsibility for COPPA compliance on your end.
3.5 Reverse engineering. Attempt to extract, reconstruct, or derive the underlying model weights, training data, or architecture from API responses.
3.6 Resale without authorization. Resell or white-label the API as a standalone inference service to third parties without a separate written agreement with us.
3.7 Automated abuse. Send requests at volumes or rates that exceed your tier limits or that are designed to degrade service availability for other customers.
3.8 Misrepresentation. Represent our analysis output as a definitive legal finding, clinical diagnosis, or authoritative determination of fact.
4. Subscription Tiers and Payment
4.1 Tiers. API access is offered on the following subscription plans:

Specific request volume limits, rate limits, and feature entitlements for each tier are described in the documentation at the time of purchase and may be updated with thirty (30) days' notice.
4.2 Payment. Fees are due monthly in advance. Failure to pay within ten (10) days of the due date may result in suspension of API access.
4.3 Upgrades and Downgrades. You may request a tier change at any time; changes take effect at the next billing cycle. Downgrades do not result in refunds for the current period.
4.4 Taxes. All fees are exclusive of applicable taxes. You are responsible for paying any sales, use, VAT, or similar taxes.
5. Intellectual Property
5.1 We retain all right, title, and interest in the API, the underlying machine learning models, training methodology, and any derivative works thereof.
5.2 You retain all right, title, and interest in the text content you submit to the API ("Input Content"). By submitting Input Content, you grant us a limited license to process that content solely to deliver the API response and, in anonymized or aggregated form, to maintain and improve our models as described in our Privacy Policy.
5.3 Analysis results returned by the API ("Output") are provided for your use as described in these Terms. We do not claim ownership of Output you incorporate into your own products.
6. Confidentiality
Each party agrees to keep the other's Confidential Information (including API documentation marked confidential, pricing, and technical specifications) strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.
7. Disclaimer of Warranties
THE API IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE API WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANALYSIS RESULTS WILL BE ACCURATE IN ALL CASES. BIAS AND HATE-SPEECH DETECTION IS PROBABILISTIC; RESULTS SHOULD BE USED AS ONE INPUT AMONG SEVERAL IN ANY CONTENT MODERATION DECISION.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
9. Indemnification
You agree to indemnify, defend, and hold harmless SoJen.AI and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the API in violation of these Terms; (b) Input Content you submit; or (c) your violation of any applicable law or third-party right.
10. Term and Termination
10.1 These Terms begin on the date you first access the API and continue until terminated.
10.2 Either party may terminate for convenience with thirty (30) days' written notice.
10.3 We may suspend or terminate your access immediately if you breach Section 3 (Prohibited Use) or fail to pay fees when due.
10.4 On termination, your API keys will be deactivated. Sections 5, 7, 8, 9, 11, and 12 survive termination.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United States. Any dispute arising hereunder shall first be submitted to good-faith negotiation. If unresolved within thirty (30) days, the parties agree to binding arbitration under the JAMS Streamlined Arbitration Rules, conducted in English. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.
12. General
12.1 Entire Agreement. These Terms, together with our Privacy Policy, Acceptable Use Policy, Data Processing Agreement, and any applicable Service Level Agreement, constitute the entire agreement between the parties regarding the API.
12.2 Modifications. We may update these Terms at any time with thirty (30) days' notice via email or portal notification. Continued use of the API after the effective date constitutes acceptance.
12.3 Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
12.4 Waiver. Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
